Articles of Association

ARTICLES OF ASSOCIATION

(as originally drafted in 1968 and incorporating
amendments up to and including July 20, 1996)

 

 

1.

NAME

The Association shall be known as the CRANE LAKE ASSOCIATION (hereinafter referred to as the “Association”).

 

2.

PURPOSES

The Association is constituted for the following objects and purposes:

(i.) to promote the conservation of land, waters, fish and wildlife on Crane Lake;

(ii.) to encourage water and fire safety among its members;

(iii.) to represent its members in matters of mutual interest pertaining to their lands on Crane lake;

(iv.) to encourage and organize social and recreational activities among its members.

 

3.

MEMBERSHIP

Membership in the Association shall be open to all owners and lessees of land on Crane Lake and members of their immediate families aged 17 and over.

 

4.

ANNUAL MEETING

A general meeting of all members of the Association shall be held at least once each year in the vicinity of Crane Lake. The date and location of each meeting shall be determined by the Board of Directors.

 

5.

SPECIAL MEETINGS

Special meetings of the membership shall be called by the Secretary upon receipt by him or her of a request to do so from at least one-third of the members entitled to vote at a meeting or at such time or times as the officers may decide.

 

6.

QUORUM

One-third of the members entitled to vote present in person or represented by proxy shall constitute a quorum for the transaction of business. The appointment of a proxy must be by instrument in writing signed by the member. The proxy may but need not be a member of the Association.

 

7.

RIGHT TO VOTE

Each member present in person or represented by proxy shall be entitled to one vote provided however that no member shall be entitled to vote who is in default in paying his or her dues to the Association and that there are not more than two member votes per property.

 

8.

VOTES TO GOVERN

Except as provided in Article 14 hereof, every question shall be decided by the majority of votes duly cast on the question.

 

9.

SHOW OF HANDS

At all meetings of members, votes shall be cast by a show of hands, except when deemed appropriate by the chair or upon request of a minimum of 3 voting members, a vote by ballot shall be held. The chair shall appoint 3 scrutineers to prepare, distribute, gather and count the ballots.

 

10.

OFFICERS

The members shall elect from among their number each year at the Annual Meeting a maximum of 12 Directors including the following officers who shall hold office until the following Annual Meeting:

President: The president shall preside at all meetings of the members and shall be the chief executive officer of the Association and shall have been a Director for a minimum of two years prior to taking this office.

Vice-President: The Vice-President shall perform the duties and exercise the power of the President during the latter’s absence or inability to act.

Secretary: The Secretary shall be the custodian of all books, documents and records of the Association and shall record the minute of each meeting of the members and officers.

Treasurer: The treasurer shall keep full and accurate books of account in which shall be recorded all receipts and disbursements of the Association and shall be responsible for collecting the annual dues of the Association members.

 

The Past President shall be a Director and Officer of the Association.

 

11.

ADMINISTRA-TION

The Board of Directors shall administer the business of the Association.

 

12.

AUDITORS

Auditors for the Association shall be appointed by the members at each Annual Meeting for the ensuing year.

 

13.

FINANCIAL YEAR

The following rules shall govern the financial operations of the Association.

(a) Fiscal Year: The fiscal year of the Association shall be the year ending on December 31 of each year.

(b) Membership Year; The annual dues paid by members shall be for a period running from January 1 to December 31 in any year, and the amount of those dues shall be set from time to time by the Annual Meeting for the membership year beginning on the following January 1.

 

14.

AMENDMENT OF ARTICLES

The Articles of Association may be amended by a vote of not less than two-thirds of the members present and entitled to vote at an Annul Meeting.

 

15.

BANKING

Any two of the President, Vice-President, Secretary and Treasurer are hereby empowered to negotiate cheques on behalf of the Association,

 

16.

CONTRACTS

Any two of the President, Vice-President, Secretary and Treasurer are hereby empowered to negotiate and execute contracts on behalf of the Association provided however that this authority shall be limited in the case of any one contract to five hundred dollars ($500.) without the approval of the members expressed at a meeting of the Association.
